CONDITIONS:
Terms and Conditions for Virtual Art Gallery Rentals with XperienzclubBy renting a virtual gallery from Xperienzclub, the client agrees to the above terms and conditions.
 
Rental Period and Usage: The virtual gallery templates (Basic or Premium) rented from Xperienzclub on the Spatial.io platform are available for use strictly for the agreed rental period. Clients are not permitted to own, download, or replicate the 3D templates or any associated virtual assets.

Payment Terms: All payments must be made upfront before the commencement of the rental period. Payments are non-refundable under any circumstances.

Customization and Additional Charges: Any customization of the virtual spaces requested by the client will incur additional charges.

Product Installation: Xperienzclub will handle the integration of digital items (e.g., photos, videos, information links, and text) into the virtual gallery. All digital content must be provided by the client in a ready-to-use format. Xperienzclub is not responsible for the accuracy of the information provided by the client. Any corrections or changes after integration will be subject to extra charges.

Metaverse Integration and Hosting: Xperienzclub will integrate the virtual gallery on Spatial.io and can provide hosting services if required. Xperienzclub is not responsible for any modifications made by the client during the rental period. Any adjustments or additional work requested by the client will incur extra charges. Xperienzclub is not responsible for any changes or disruptions on the Spatial.io platform itself that may affect the gallery’s functionality or accessibility.

Live Inauguration Events: If a live inauguration event is requested, costs will be determined based on the event size, duration, and number of attendees. Platform fees for events exceeding 16 attendees will be the responsibility of the client. A detailed budget for the event organization will be provided to the client for approval.

NFT Creations, 3D Assets, and Avatars: Any NFTs, 3D items, avatars, animations, auras, or attachments created by Xperienzclub will incur additional charges. Clients may acquire ownership of GLB or FBX files for these digital assets upon payment.

Gamification: All gamification elements requested by the client will be charged additionally. Xperienzclub retains copyright ownership of all gamification features created.

Liability and Responsibility: Xperienzclub is not liable for any negative outcomes, including but not limited to poor reception, low sales, or audience engagement, resulting from the virtual exhibition or event. Xperienzclub is not responsible for items sold within any rented virtual space or through any external links provided by the client. Xperienzclub is not responsible for event promotion, communication, or marketing unless specifically agreed upon as an additional service. Xperienzclub is only responsible for the 3D space and all 3D creations. Technical support and maintenance provided by Xperienzclub is limited to the virtual space and its creations, not the Spatial.io platform. Additional assistance will incur extra charges.

Tutorial Service: Xperienzclub will provide a tutorial service to explain the functionality and usage of the virtual gallery platform

Content Marketing and Brand Identity: Content marketing strategy development and brand identity services will be available upon request and will incur additional charges.

Client Conduct and Compliance: Clients are required to comply with Spatial.io’s terms of service and community guidelines. Xperienzclub reserves the right to suspend or terminate the rental if the client’s content violates laws, policies, or these terms.

Data Privacy and Security: Xperienzclub does not hold any responsibility for data breaches or security issues within the Spatial.io platform.

Termination of Agreement: The agreement may be terminated if the client fails to comply with the conditions outlined in these terms.

Force Majeure: Xperienzclub is not liable for any failure or delay in performance resulting from unforeseen events beyond its control, including but not limited to server outages, natural disasters, or cyber-attacks.

Governing Law and Jurisdiction: These terms and conditions are governed by and construed in accordance with the laws of Toulouse, France. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Toulouse.

Copyright and Intellectual Property: Xperienzclub retains copyright ownership of the virtual gallery spaces, 3D templates, all gamification features, and all associated digital creations.
